SiSat – Terms of Use (Australia)
1. Introduction
SiSat is provided exclusively for schools and education institutions located within Australia.
These Terms of Use (“Terms”) form a binding agreement between you and KD Facility Services Pty Ltd, trading as School Information Systems & Technology (SiSat), a company registered in Australia, with its registered office at Level 1, 141 O’Connell Street, North Adelaide, South Australia 5006.
By accessing or using any part of the SiSat platform, websites, mobile applications or services (together, the “Services”), you:
- accept and agree to these Terms;
- consent to electronic agreements, notices and approvals; and
- confirm your ongoing compliance with all policies referred to in these Terms.
If you do not agree to these Terms, you must not use the Services.

2. Scope of Services
References to “Services” include the domains sisat.com.au, schooldirect.net (and any associated domains linked via the SiSat platform), all related websites, web portals, mobile applications (for example, the schooldirect.net Android app), software, products, and any other tools or features made available by SiSat.
Our Services are provided only to schools and education-related customers based in Australia. We do not offer services to customers based outside Australia.
3. Additional Terms
These Terms incorporate and should be read together with the following additional terms (“Additional Terms”):

In addition, there may be specific terms that apply to particular products, modules or services that your school uses.
4. Changes to These Terms
SiSat is continually improving and updating its Services. As a result, these Terms may be updated from time to time.
Where possible, we will provide reasonable notice of material changes to these Terms or any Additional Terms. The latest version will always be available via our websites.
If you continue to use the Services after changes take effect, you are deemed to have accepted the updated Terms. If you do not agree with the changes, you must stop using the Services.
No modification to these Terms is valid unless it is in writing and signed by both you and SiSat.
5. Changes to the Services
We may update, modify, suspend or discontinue any part of the Services at any time. This may include introducing new features, removing features, or placing limits on certain functionality.
We will provide notice where practical, particularly if we make a material change that may adversely affect you; however, this may not always be possible.
Access to the Services is provided under an agreement between SiSat and your school. If that agreement ends for any reason, your access to the Services may be withdrawn without notice.
6. Availability of the Services
We do not guarantee that the Services will always be available, uninterrupted, secure or error-free. Access may be suspended or restricted for maintenance, security or operational reasons.
You are responsible for ensuring that anyone who accesses the Services via your internet connection is aware of these Terms and the Additional Terms, and that they comply with them.
7. Login, Access and Account Security
When using the Services, including logging into any SiSat website, portal or application, you agree to:
- keep your username, password and other login details confidential;
- not share or transfer your account to any other person;
- take reasonable steps to prevent unauthorised access to your account; and
- notify us promptly if you suspect your account has been compromised.
The following are strictly prohibited:
- logging into an account that does not belong to you;
- using generic, shared or “service” accounts to access the platform;
- vendor, competitor or integrator access without our prior written consent;
- automated access via bots, scripts, scraping tools or similar technologies.
SiSat actively monitors access patterns, login integrity, IP activity and system usage. We may suspend, restrict or disable any account where, in our reasonable opinion, these Terms have been breached.

Password guidance
A strong password should:
- be at least 12 characters long;
- include upper and lower case letters, numbers and symbols;
- not be based on names, addresses, birthdays or common dictionary words;
- not use obvious patterns (e.g.
123456,qwerty,aaabbb); - not be reused across multiple systems or services; and
- be stored securely or in a reputable password manager.
8. Privacy
SiSat is committed to protecting the privacy of schools, staff, students and other users of the Services. We handle personal information in accordance with our Privacy Policy, which forms part of these Terms.

9. Intellectual Property
All intellectual property rights in the Services, including content, software, design, text, graphics, images, logos and other materials, are owned by or licensed to SiSat.
You may print or download content from the Services for your personal or school use only, provided that you:
- do not modify any content;
- do not separate text from associated images or graphics;
- acknowledge SiSat (and any identified contributors) as the source; and
- do not use content for commercial purposes without our prior written permission.
If you print, copy or download any part of the Services in breach of these Terms, your right to use the Services will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.
Where SiSat holds registered trade marks in a particular jurisdiction, you are not permitted to use them without our prior written approval, except as part of material you have been expressly authorised to use.
10. User Content
Some parts of the Services may allow you or your school to upload or submit content (including text, images, data and documents).
You retain ownership of your content, but by submitting it through the Services you grant SiSat a limited licence to use, store, host, reproduce, transmit, display and share that content as needed to operate, maintain and improve the Services.
You must ensure that all content you upload:
- complies with our Acceptable Use Policy and all applicable laws;
- does not infringe the rights (including privacy and intellectual property rights) of any third party; and
- is accurate and appropriate for a school environment.
We may disclose your identity to a third party who claims that content you have uploaded infringes their intellectual property rights or privacy.
You are solely responsible for securing and backing up your content. SiSat does not accept responsibility for any loss of data or resources.
We do not knowingly host terrorist or extremist content and reserve the right to remove content at any time without notice.
This service may contain translations powered by Google. SiSat and Google disclaim all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties of merchantability, fitness for a particular purpose and non-infringement.

11. General Information and Accuracy
The content provided through the Services is for general information only. It is not intended to be professional or legal advice. You should obtain your own professional advice before relying on any information provided through the Services.
Although we make reasonable efforts to monitor and update content, we do not guarantee that information is accurate, complete or up to date. We are not responsible for typographical, technical, pricing or descriptive errors.

Where the Services contain links to external websites or resources provided by third parties, these links are provided for your information and convenience only.

13. Linking to Our Websites
You may link to our home pages, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
You must not:
- suggest any form of association, approval or endorsement where none exists;
- frame our websites within another site; or
- create a link from any site that you do not own or control.
We reserve the right to withdraw linking permission at any time.
14. Viruses, Security and Prohibited Use
We take reasonable steps to protect the Services from viruses and other harmful code, but we do not guarantee that the Services will be secure or free from bugs or viruses.
You are responsible for configuring your devices, software and network to access the Services safely and should use your own virus protection software.
You must not:
- misuse the Services by knowingly introducing viruses, trojans, worms, logic bombs or other malicious material;
- attempt to gain unauthorised access to any part of the Services, servers or databases;
- attack the Services via a denial-of-service or distributed denial-of-service attack.
Breaching this provision may constitute a criminal offence. We will report any such breach to the relevant law enforcement authorities and cooperate with them by disclosing your identity. Your right to use the Services will cease immediately in the event of such a breach.
15. Location Services
Some parts of the Services may use location-based technologies (for example GPS, IP address look-ups or mobile tower location).
Where applicable, you may choose to enable or disable location services through your device or browser settings. If you choose not to enable location services, some features may not function as intended.
We may use location information for purposes including:
- assisting with address entry and filtering by region;
- enabling or limiting certain features based on your location (for example, office/reception options);
- improving security, fraud prevention or verification processes;
- suggesting or filtering schools or portals when you first access the platform.
16. In-App Chat
Some users may have access to in-app chat features, which allow text-based communication with SiSat or school staff.
Chat is intended for general support and operational communication and should not be used for transmitting sensitive, financial or highly confidential information.
SiSat excludes all liability arising from or in connection with the use of in-app chat, to the extent permitted by law. Please refer to our Privacy Policy for further details.
17. Advertising
SiSat does not display third-party advertising (including targeted adverts) across the platform.
Schools may choose to display their own notices or content within the Services from time to time. While we cannot control school-generated content, we monitor the platform at a system level. If you believe any advertising or announcement is inappropriate, please contact: [email protected].
18. Liability
We do not exclude or limit in any way our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors, and for fraud or fraudulent misrepresentation.
Subject to the above and to the extent permitted by law:
- the Services are provided on an “as-is” and “as-available” basis, without any warranties of any kind, whether express or implied (including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that use of the Services will be uninterrupted or error-free);
- SiSat will not be liable for any indirect, special, incidental or consequential loss or damage, including loss of profits, loss of goodwill, work stoppage, loss of data or computer failure;
- SiSat’s total aggregate liability to you arising out of or in connection with the Services is limited to AUD $100.
The Services are provided for school operational purposes only. You must not use the Services for commercial or business purposes outside of authorised school activities, and we have no liability to you for loss of profit, loss of business, business interruption or loss of business opportunity.
If defective digital content supplied by SiSat damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you reasonable compensation. We will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge, or for damage caused by you failing to correctly follow installation instructions or to meet minimum system requirements.
19. Enhancements, Suggestions and Intellectual Property
We welcome ideas and feedback to help us improve the Services. However, any change requests, enhancements, suggestions, comments, feedback, concepts, designs, feature ideas, co-funded development or similar material you provide to us (collectively “Feedback”) will become the property of SiSat.
By submitting Feedback, you agree that SiSat may use, modify, reproduce, license, distribute, sell or otherwise exploit such Feedback in any way without obligation to compensate you.
If you do not wish to assign intellectual property rights in your ideas or enhancements to SiSat, please do not submit them or engage us to perform that work.
20. Assignment and Transfer
You may not assign, delegate or transfer these Terms, your rights or obligations under these Terms, or your Services account, without our prior written consent.
We may transfer, assign or delegate our rights and obligations under these Terms, in whole or in part, without your consent. In the event of a transfer of our business or assets as a going concern, personal data we process may be transferred to the acquiring party in accordance with our Privacy Policy.
21. Indemnity
You agree to indemnify and hold harmless SiSat, its related entities, officers, employees, agents, contractors, partners and clients from and against any and all claims, liabilities, damages, losses and expenses (including legal fees) arising out of or in any way connected with:
- your use of the Services (including any actions taken by a third party using your account); or
- your breach of these Terms or the Additional Terms.
22. Communications
SiSat aims to minimise unnecessary communications and comply with applicable Australian communications and spam laws.
Where possible, we will provide options for different communication methods (for example, push notifications, email, SMS or postal mail). Official communications from SiSat will be sent from email addresses ending in @sisat.com.au.

23. Jurisdiction
These Terms, their subject matter and their formation are governed by the laws of Australia. You and SiSat agree that the courts of Australia will have exclusive jurisdiction over any dispute arising under or in connection with these Terms.
24. General
If we fail to exercise or enforce any right or provision of these Terms, that failure will not constitute a waiver of such right or provision.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary so that the remaining provisions remain in full force and effect.
These Terms (together with any Additional Terms and any school-specific client agreement) constitute the complete and exclusive statement of the agreement between you and SiSat regarding your use of the Services and supersede all prior written or oral agreements relating to the subject matter of these Terms.
